WHOLESALE TERMS & CONDITIONS

THESE CONDITIONS

1A.1. These conditions of Sale apply and govern any contract of sale between the Seller and the Buyer to the exclusion of any other conditions contained in any documentation emanating from the Buyer, and no variation of these Conditions of Sale shall be effective unless expressly agreed by the Seller in writing.

1A.2. These Conditions are the only conditions on which JM Supplies sells goods. Unless otherwise agreed in writing they will apply notwithstanding any other terms on which the Buyer wish to purchase goods from JM Supplies. Our representatives, staff and vehicle drivers are not authorised to agree to any other conditions, or to vary these Conditions.

1A.3. These Conditions supersede any previous conditions between the Seller and the Verbal (whether verbal or written) and also supersede any previous course of dealing, trade custom or understanding between both parties. 1A.4. In these Conditions “Goods/Products” means all goods sold by JM Supplies to the Buyer, “We/Us/Our/the Company” means JM Supplies and “You/Your/the Customer” means the person, company or other legal entity purchasing the Goods.

1A.5. We reserve the right not to supply any person or company without explanation or notification.

1A.6. We reserve the right to suspend delivery if circumstances arise which, in Our view, oblige Us to do so, or in the event that our accounts are not paid to terms, or Your insolvency. We reserve the right to reduce or cancel orders in the event of Your insolvency, Our inability through shortage of stocks or for any other reason to execute delivery wholly or in part and to make reasonable alterations to products and/or packaging as circumstances may demand. We will not be liable for costs, damages, losses or expenses of any nature resulting from part delivery, suspension of delivery, reduction or cancellation of orders.

1A.7. There is no contract between us until We accept your order. Each order constitutes a separate contract.

1B. Parties Involved This agreement is entered into by and between JM Supplies referred to as the "Seller," and the purchasing entity of yourself/your company, referred to as the "Buyer."

2. Orders

2.1 Placement of Orders: The Buyer may place orders for products listed in the Seller's catalogue or inventory. All orders should be placed through the JM Supplies website for ease of the transaction. The order must meet the minimum order quantity of £500+VAT set out by JM Supplies. Orders that are placed below this value shall automatically be cancelled unless agreed upon prior to placing the order with an Account Manager representing JM Supplies.

2.2 Acceptance of Orders: All orders are subject to acceptance by the Seller. JM Supplies reserves the right to refuse or cancel any orders that may not be economically or operationally viable. The Seller may also cancel orders without a given reason.

2.3 Order Confirmation Importance: The order confirmation is the initial invoice sent through from the Seller to the Buyer. It is the Buyer’s responsibility to check that all lines have the correct case and piece quantity, prices, sizing or any other important factors for the Buyer prior to payment. Once payment is made the stock is then reserved for the Buyer. The Buyer cannot amend or cancel their order at this point. Some lines may have been specifically ordered in for the Buyer. JM Supplies cannot be held responsible for any errors made by the Buyer during this process.

2.4 Quantity and Pricing: Inventory is not reserved for the Buyer until full payment has been received. Inventory quantities may change at any given time throughout or before the order is complete. Prices are also subject to change at any time without prior notice. In some cases, prices may even be changed just prior to payment if an error in pricing has been detected on the website or on the pricing list. Bulk discounts may be applied based on the quantity ordered in some situations. We reserve the right to refuse any attempted price negotiations from the Buyer that are not economically viable.

3. Payment Terms

3.1 Payment Methods: The Seller accepts payments via BACs only at this current time. All payments should be made via BACs. JM Supplies is not liable for any mistakes made when making BACs payments.

3.2 Invoices: An order confirmation invoice will be issued within two business days of the order being placed by the Buyer. Payment terms are from the date of invoice unless otherwise agreed upon in writing. A finalised official invoice from JM Supplies shall be emailed/posted once the quantity of dispatched stock has been confirmed by the Seller.

3.3 Late Payments: In the event of no payment or lack of communication between the Seller and the Buyer, the Seller reserves the right to cancel the order at any time.

4. Shipping and Delivery

4.1 Shipping: The Seller will arrange shipping of the goods to the Buyer's designated address. Shipping costs are the responsibility of the Buyer unless otherwise agreed in writing or if the order exceeds £1000 + VAT.

4.2 Delivery Timeframe: The delivery timeframe or estimated date of delivery may change at any time. Whilst every effort is made to honour delivery dates and times JM Supplies cannot accept any liability for the Buyer’s economical losses due to late delivery.

4.3 Title and Risk of Loss: Title to the goods passes to the Buyer upon delivery. Risk of loss or damage to the goods passes to the Buyer upon delivery.

5. Returns and Refunds

5.1 Return Policy: Products may be eligible for return or exchange within two business days of receipt, subject to inspection and approval by the Seller. Products must be unopened and in the original packaging. Any damages/discrepancies must be reported within 48 hours of the delivery being received. Photographic evidence of damaged goods is mandatory to receive a refund. The seller reserves the right to decline any returns/refunds of damaged goods if no photographic evidence can be provided by the Buyer.

5.2 Return cost: It is the Buyer’s responsibility to pay for the postage of returning goods to any address provided by the Seller. The safety of the goods remains the responsibility of the Buyer until the goods are confirmed as received by the Seller. The Buyer must package returns carefully to ensure safe travel between addresses. The Seller reserves the right to decline any refunds on goods that are received damaged from the Buyer upon delivery. JM Supplies shall organise, and fund postage return costs for any goods that were damaged in transit to the Buyer or any goods that were accidentally incorrectly advertised on the website.

5.3 Refunds: Refunds for returned products will be issued in accordance with the Seller's refund policy. Once the Buyer’s return/refund reasoning has been accepted by the Seller a refund shall be issued within two business days. Depending on the refund credit method used by the Seller, funds may take up to five business days to reach the Buyer’s bank account. The Seller is not liable for any delays in the bank transfer of funds by their bank account provider or the Buyer’s bank account provider.

6. Warranties and Liability

6.1 Warranty: The Seller makes no express or implied warranties regarding the products, except those stated explicitly in writing.

6.2 Limitation of Liability: The Seller shall not be liable for any indirect, incidental, or consequential damages arising from the use of its products.

7. Agreement and Dispute Resolution

7.1 Agreement: This agreement shall be governed by JM Supplies and shall be applicable to all communications/transactions between the Seller and the Buyer.

7.2 Dispute Resolution: Any disputes arising from this agreement shall be resolved through arbitration or mediation, as agreed upon by both parties.

8. Consumer Relations

8.1 JM Supplies reserves the right to not to supply a company without explanation.

8.2 A 'customer' in these terms refers to a Companies House registered business. We do not offer trade accounts to members of the public. Business documentation is mandatory to be approved for a trade account with JM Supplies.

8.3 The delivery of goods to the customer may be suspended for any reason at any time.

9. Miscellaneous

9.1 Entire Agreement: This document constitutes the entire agreement between the Seller and the Buyer concerning the sale of goods.

9.2 By placing an order, the Buyer acknowledges and agrees to be bound by these terms and conditions of sale on current and future orders.
